End User License Agreement

1. License grant

Subject to your compliance with this Agreement and payment of the applicable fee, Stranis grants you a perpetual, non-exclusive, non-transferable, revocable license to install and use the Software for your own personal or commercial music and audio production.

• You may install and use the Software on up to three (3) computers that you own or control, provided you are the only user.
• "Perpetual" means the license for the product you purchased has no expiration date.
• You may make one copy of the Software for backup purposes only.

2. Activation & license keys

The Software may require a license key, serial number, or online activation. Your license key is personal to you. You are responsible for keeping it confidential. Sharing, publishing, or distributing your license key is a material breach of this Agreement and may result in deactivation without refund.

3. Restrictions

You may not, and may not permit any third party to:

• resell, rent, lease, lend, sublicense, distribute, or otherwise transfer the Software or your license key, except as expressly permitted by mandatory applicable law;
• reverse engineer, decompile, or disassemble the Software, except to the extent such activity is expressly permitted by applicable law notwithstanding this limitation;
• modify, adapt, translate, or create derivative works based on the Software;
• remove, alter, or obscure any copyright, trademark, or other proprietary notices;
• circumvent, disable, or interfere with any license-protection or activation mechanism;
• use the Software to develop a competing product, or in any unlawful manner.

4. Ownership

The Software is licensed, not sold. Stranis and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set out in this Agreement. Audio you create using the Software is yours; the Software itself is not.

5. Updates & support

Stranis provides free lifetime updates for the product you purchased, including maintenance releases, bug fixes, and feature updates, for as long as Stranis continues to develop that product. Updates are delivered through your account. Stranis aims to maintain compatibility with current operating systems and host applications but does not guarantee compatibility with every future version. Customer support is provided on a reasonable-effort basis.

6. Third-party components

The Software is built using the Steinberg VST 3 SDK. VST is a registered trademark of Steinberg Media Technologies GmbH. The Software may include other third-party libraries, fonts, or components subject to their own license terms; where required, those notices accompany the Software. Such components are provided under their respective licenses, and nothing in this Agreement limits your rights under, or grants rights beyond, those licenses.

7. Term & termination

This Agreement is effective until terminated. It terminates automatically, without notice, if you breach any of its terms. Stranis may also terminate the license if your payment is reversed, charged back, or refunded. Upon termination, you must stop using the Software and delete all copies. Sections 4, 8, 9, and 11 survive termination.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Stranis does not warrant that the Software will be error-free, uninterrupted, or compatible with your hardware or host software. The entire risk as to quality and performance is with you. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRANIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE. STRANIS'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Export & compliance

You represent that you are not located in, and will not use the Software in, any country or by any person subject to applicable trade sanctions or export-control restrictions, and that your use complies with all applicable laws.

11. General

This Agreement is governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. It constitutes the entire agreement between you and Stranis regarding the Software and supersedes any prior understanding. If any provision is held unenforceable, the remaining provisions remain in full force. Stranis's failure to enforce any right is not a waiver. This Agreement is written in English, which is the controlling language; any translation is for convenience only.
